This Terms of Service (the "Terms") outlines the rights and obligations related to your use of RemoteYeah (the "Service"). These terms are applicable to RemoteYeah and all associated platforms, applications, communities, meetups, online events, and properties.

Before using the Service, review the Terms. If you disagree with the Terms or our Privacy Policy, don't use the Service. If representing a company, ensure you have the authority to agree to these Terms. The Service is available only to those who have reached the age of majority and can fully comply with the Terms.

When you create an account on RemoteYeah, it's crucial to ensure its security and the integrity of its content. You bear full responsibility for all actions and activities under your account. Be cautious not to use misleading or unauthorized names or content that might infringe on others' rights. RemoteYeah reserves the right to alter or remove inappropriate or unlawful descriptions. Should you notice any unauthorized access or breaches related to your account, alert RemoteYeah immediately. Please note that RemoteYeah will not be held accountable for any damages or issues resulting from your account's use or your actions.

Individual Usage: Each account on our platform is intended for the sole use of a single individual. Sharing of account credentials with other persons is strictly prohibited.

Prohibition of Agency Usage: Recruiting agencies or any similar entities are expressly prohibited from utilizing a single account on our platform to find jobs for their pool of developers or candidates. Each developer or candidate within an agency's pool must have their individual account for usage on the platform.

Account Responsibility: Users are solely responsible for maintaining the confidentiality of their account credentials and for any activity that occurs under their account.

Violation Consequences: Violation of this clause may result in the immediate termination of the account without notice, and further legal action may be taken if deemed necessary.

You are solely responsible for all taxes and charges linked to the Service, including any sales tax arising from transactions under the Terms. It's your duty to ascertain if sales taxes are applicable to a deal and to collect, declare, and submit the correct amounts to the relevant authority.

When you manage an Account, comment, share material, post links, or enable material to be available through the Service (referred to as "**Content**"), you bear full responsibility for that Content and any potential harm it may cause. This applies regardless of the nature of the Content, be it text or graphics. By sharing Content, you assure and affirm that the act of downloading, copying, and using the Content won't violate the rights of any third party, including but not limited to, copyright, patent, trademark, or trade secret rights.

If content you create is owned by your employer, you've either (i) gained permission to post it, or (ii) received a waiver of your employer's rights to it. Additionally, you've adhered to third-party license agreements and ensured end users are informed of any necessary terms.

The Content is free from viruses or any damaging elements; it isn't spam, isn't automated or randomly generated, and doesn't include improper commercial content aimed at redirecting users to external sites, manipulating search engine rankings, supporting illegal activities like phishing, or deceiving users regarding its origin.

You agree to use the Service solely for lawful activities. You must not post any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene. Avoid anything that could lead to criminal charges, civil liabilities, or breaches of local, state, national, or international laws. Even though posts are monitored, be aware that all contributions will display your name and institution — anonymous postings are not allowed.

When you upload or share any material with RemoteYeah, you grant RemoteYeah a perpetual license to broadcast, display, distribute, sell, produce derivatives from your contributions, and to use it in various ways. This encompasses hosting, indexing, caching, and formatting, along with showcasing your content in connection to the Service. This might appear on the platform, in our outreach to current and potential users, through emails, promotional avenues, and other marketing materials, all adhering to our Privacy Policy. Even in our promotional endeavors, we'll recognize you as the content's owner, unless you provide us specific permission to the contrary. The stipulations of this section persist even if the Terms conclude or are terminated.

RemoteYeah reserves the right to permanently ban any user from our platform for behavior that violates our guidelines. We are the sole judge of such violations, and we do not provide appeals or refunds in these instances. We may also refuse or remove any Content or deny access to the Service for any reason.

All uploaded Content is protected by copyright © of their respective owners.

If you remove Content, RemoteYeah will make reasonable attempts to delete it from the Service. However, be aware that due to caching or references, the Content might not become immediately inaccessible.

RemoteYeah has not reviewed all the material, including software, available through websites and webpages linked to or from our platform. We don't control or endorse these external sites, and we aren't responsible for their content. While we provide links for convenience, akin to an index in a public library, linking doesn't imply our endorsement. We serve as distributors of content supplied by visitors and third parties, without editorial control over this content. The views, opinions, and advice shared by members or third parties are their own. RemoteYeah disclaims any responsibility for these views and any liability related to content posted by third parties. We cannot assure the continual relevance of the available information, and we bear no responsibility for any disparities or alterations that could impact its timeliness or precision. Additionally, please note that information found on RemoteYeah' websites, apps, communities, and other properties may contain technical inaccuracies or typographical errors and may change without prior notice.

Provided you adhere to the Terms, RemoteYeah offers you a limited, revocable right to utilize the resources we provide, throughout the duration of these Terms. This right is specific in purpose, non-transferable, non-sub-licensable, and non-exclusive.

In situations where RemoteYeah perceives an immediate risk to its operation, security, or to any system belonging to you or a third party, RemoteYeah can, without prior notice and at its own discretion, halt access to the Service. Such an action doesn't violate the Terms. You recognize the utmost importance of ensuring data security and confidentiality. Under these circumstances, RemoteYeah isn't liable for any disruptions caused to the Service.

While this clause doesn't pertain to Content, you understand that any insights, recommendations, or techniques you offer to RemoteYeah concerning its services or operations ("Feedback") become the sole property of RemoteYeah. You're providing this Feedback willingly, without expecting any form of compensation from RemoteYeah. RemoteYeah holds the discretion to utilize or disregard this Feedback in its services, operations, or other offerings. By providing Feedback, you transfer all global, enduring rights to RemoteYeah and, where relevant, relinquish any moral rights.

RemoteYeah maintains the right to utilize or disseminate any Aggregated Data produced by anyone using the platform, including its users, to enhance and deliver the service. "Aggregated Data" refers to data devoid of personal details, structured or combined to offer generalized, anonymous insights. If you decide to integrate or use specific third-party services with RemoteYeah, you give consent for RemoteYeah to share your lead data with those chosen third parties. Nevertheless, any personal data contained within any Content remains your responsibility.

Within the context of the Terms and the Privacy Policy, "personal information" refers to any data about a distinct individual. When using RemoteYeah, this is the accepted definition.

RemoteYeah reserves the right to make changes or updates to the Terms at its sole discretion. It's your responsibility to review the Terms regularly for any updates. If we make significant modifications, we'll notify you, for instance by sending an email or displaying a prominent notice on our Service. Your continued use of the Service after any amendments signifies your acceptance of the updated Terms. If any new features or services are introduced in the future, they will also fall under these Terms. If you disagree with the revised terms, you have the option to stop using the Service.

Your use of RemoteYeah and any associated content, including content you upload and third-party materials, is solely at your own risk and responsibility. The Service is delivered on an "as is" and "as available" foundation. RemoteYeah makes no guarantees or representations of any kind regarding the Service, be they direct or implied. This includes, but is not limited to, warranties of title, merchantability, fitness for a specific purpose, accuracy, non-infringement, and any other warranty arising from course of dealing, usage, or trade practice. No advice or information given by RemoteYeah will establish a warranty, and users shouldn't rely solely on such advice or information. RemoteYeah retains the right to modify any information, and these provisions aren't meant to serve as a binding contract.

RemoteYeah operates and manages its services from its facilities in the Czech Republic. While RemoteYeah does not claim that its services are suitable or accessible outside the Czech Republic, individuals choosing to use the service from other regions are doing so on their own initiative and must adhere to local laws.

Limitation of Responsibility. By using RemoteYeah, you acknowledge that neither RemoteYeah nor its stakeholders, affiliates, officers, employees, or partners will be accountable, under any legal circumstance, for any indirect, unexpected, or consequential damages, whether rooted in contract, tort, negligence, or other legal theories. This includes, but isn't limited to, damages from loss of profit, data, goodwill, or any alternative costs, even if RemoteYeah has been previously informed of such potential damages. The maximum liability of RemoteYeah for all claims under these terms will not exceed the total amount you've paid to RemoteYeah in the one (1) year directly preceding the event leading to the claim. Some jurisdictions might not permit certain liability restrictions, so in such regions, RemoteYeah's liability will be confined to the greatest extent allowed by law. Any liability related to the trial version of the service or the sharing of personal information is expressly disclaimed by RemoteYeah. You also recognize that these limitations are extensive and will stand even if they cause any remedies to fail their essential purpose.

RemoteYeah will not be held accountable for any damages resulting from content or services sourced from third parties or promoted on our service. The same restrictions apply to damages from content on other websites. Additionally, interactions or engagements with advertisers on RemoteYeah won't make us liable for any potential losses or damages. You concur that RemoteYeah won't be responsible for any harm related to the advertisers' presence on the service.

In the face of any disagreements tied to RemoteYeah or its associated terms, you should be keenly aware that: (i) you're unequivocally relinquishing the privilege of a jury trial; and (ii) you're wholeheartedly waiving your right to stand as part of a collective group, especially within class action lawsuits concerning such disputes.

You consent that any claim associated with the Terms you might have will be initiated no later than one (1) year after the emergence of said claim when using RemoteYeah.

You confirm and assure that: (i) when using RemoteYeah, you will strictly adhere to the Terms, Privacy Policy, and abide by all relevant laws and regulations, which includes, but isn't limited to, local regulations in your country, state, or city regarding online behavior and permissible content, as well as laws concerning the transmission of technical data from the Czech Republic or your residing country; and (ii) your activities on RemoteYeah won't violate or unlawfully use any third party's intellectual property rights.

RemoteYeah Indemnification Clause: By using RemoteYeah, you commit to protecting, defending, and safeguarding RemoteYeah, its affiliated entities, co-branded partners, third-party advertisers, tech and service providers, and all associated officers, directors, agents, shareholders, employees, and representatives (collectively known as the "Protected Parties") against any claims, demands, losses, damages, costs, or liabilities (referred to collectively and individually as "Claims") brought forth by third parties in connection with the app's Terms of Service. These Claims may arise from:

(a) Your utilization, non-utilization, or misuse of RemoteYeah, its content, or your connection to the app. (b) Your alleged breach or violation of the app's Terms of Service. (c) Your infringement upon the rights, including intellectual property rights, of any third party, as outlined herein. RemoteYeah reserves the right, at your expense, to take sole control of any case where you must indemnify RemoteYeah. You agree to collaborate with RemoteYeah in the defense of such Claims. Additionally, you shall not reach any settlements without prior written consent from RemoteYeah. RemoteYeah will make reasonable efforts to promptly inform you of any such Claims as soon as they become aware of them.

In miscellaneous matters, if a dispute arises between you and RemoteYeah concerning the Terms or the Service, you expressly agree that the dispute will be governed by and interpreted in accordance with Czech law, without consideration of any conflict of law provisions.

Except for disputes involving the ownership of intellectual property, all conflicts arising from or related to the Terms will be referred to and ultimately resolved through arbitration in accordance with Czech law. The arbitration proceedings will adhere to the rules set forth by the Czech International Arbitration Court (CIAC), which will also serve as the appointing authority.

A single arbitrator will oversee the case, and the arbitration will be administered in compliance with the established procedures of the Czech International Arbitration Court. The place of arbitration will be in the Czech Republic, and the arbitration process will be conducted in the Czech language, as mandated by Czech law.

If any part of the Terms is determined to be unlawful, void, or unenforceable by an arbitrator or a court of competent jurisdiction, it will not render the entire Terms unlawful, void, or unenforceable. Instead, only the specific portion of the Terms that is deemed unlawful, void, or unenforceable will be removed from the Terms.

You acknowledge that the Terms can be enforced by RemoteYeah through injunctive relief and other equitable remedies without the need for demonstrating monetary damages.

You consent to the understanding that should RemoteYeah refrain from utilizing or enforcing any legal rights or remedies outlined in the Terms (or those granted by applicable law), this should not be construed as a formal waiver of RemoteYeah' rights. It is clear that these rights and remedies will remain accessible to RemoteYeah.

The Terms constitute the complete agreement between us regarding the subject matter they cover. They take precedence over and replace any previous or simultaneous agreement, representation, or discussion, whether oral or written. Any modifications to the Terms must be made in writing and signed by both parties. This requirement applies even if the parties engage in an unsigned "electronic" agreement or depend on such an unsigned agreement.
